Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Yonetior ("Yonetior", "we", "us", "our"), governing your access to and use of the Yonetior platform, available at yonetior.com, including all related applications, APIs, and services (collectively, the "Services").

By creating an account, accessing, or using the Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree to these Terms, you must not use the Services.

We reserve the right to update these Terms at any time. Material changes will be communicated to you via email or an in-app notification at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

Yonetior offers a 7-day free trial for all paid subscription plans. During the trial period:

• You have access to all features included in your selected plan.
• No charges are applied during the trial period.
• Your payment information is collected at registration to enable seamless transition to a paid subscription if you choose to continue.
• If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan, and your payment method will be charged.

During the free trial, Yonetior grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for evaluation purposes. This license:

• Is personal to you and may not be sublicensed or assigned.
• Is subject to all restrictions set forth in these Terms.
• Terminates automatically at the end of the trial period unless you subscribe to a paid plan.

During the free trial, you must not:

• Create multiple trial accounts to circumvent the trial limitation.
• Use the Services for production workloads without intent to subscribe.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Services.
• Use automated tools to scrape, crawl, or extract data from the Services.
• Share your trial account credentials with others.

Data you enter during the trial period is retained if you convert to a paid subscription. If the trial expires without conversion:

• Your data will be retained for 30 days after the trial ends.
• During this retention period, you may reactivate your account by subscribing to a paid plan.
• After 30 days, all data associated with your trial account will be permanently deleted.

All security measures, encryption standards, and data protection practices described in our Privacy Policy apply equally during the trial period. Your trial data is protected with the same level of security as paid subscription data.

The free trial is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. We do not guarantee that the Services will be uninterrupted, error-free, or meet your specific requirements during the trial. The trial is intended for evaluation purposes only.

You may cancel your trial at any time during the 7-day trial period without incurring any charges. We reserve the right to terminate your trial if we detect abuse, violation of these Terms, or fraudulent activity. Upon trial cancellation or expiration, your access to premium features will cease immediately, though you may continue on the free Starter plan with limited functionality.

Upon subscribing to a paid plan (Solo, Team, or Professional), Yonetior provides you with access to the Services in accordance with the features, limits, and capabilities defined for your chosen plan. The specific features and limits for each plan are detailed on our Pricing page and may be updated from time to time.

Yonetior offers the following subscription plans:

• Solo: Designed for independent professionals. Up to 3 users, 50 clients, 50 projects, 1 GB storage.
• Team: Full collaboration tools for growing teams. Up to 15 users, 500 clients, 500 projects, 500 AI receipt scans/month, 10 GB storage, calendar, and reminders.
• Professional: Advanced capabilities for scaling firms. Up to 50 users, 5,000 clients, 5,000 projects, 5,000 AI receipt scans/month, 100 GB storage, and advanced features.

You are responsible for maintaining the confidentiality and security of your account credentials. Specifically:

• Each user must have their own individual account. Account sharing is strictly prohibited.
• You must use a strong, unique password and keep it confidential.
• You must notify us immediately at info@yonetior.com if you suspect unauthorized access to your account.
• You are responsible for all activities that occur under your account, whether or not authorized by you.
• We reserve the right to lock or suspend accounts that show signs of unauthorized access or security compromise.

Upon payment of the applicable subscription fee, Yonetior grants you a non-exclusive, non-transferable, revocable license to access and use the Services during your active subscription period. This license:

• Covers all users within your tenant organization, up to the user limit of your plan.
• Permits use of the Services for your internal business purposes only.
• Does not include the right to resell, redistribute, or sublicense the Services.
• Is contingent upon your compliance with these Terms and timely payment of subscription fees.

Subscription pricing is as follows:

• Billing cycles: Monthly or yearly. Yearly plans include a 20% discount compared to the equivalent monthly rate.
• Currencies: TRY (Turkish Lira), USD (US Dollar), EUR (Euro). Currency is determined at the time of subscription and cannot be changed mid-cycle.
• Payment methods: Credit card payments processed through iyzico. TRY payments require a credit card issued in Turkey.
• Automatic renewal: Subscriptions renew automatically at the end of each billing cycle unless canceled before the renewal date.
• Price changes: We may adjust prices for future billing cycles with at least 30 days notice. Current billing cycle prices are locked in.
• Tax: All prices include applicable VAT (KDV) for Turkish subscribers. Foreign subscribers are not charged Turkish VAT (service export exemption).

Our Services are subject to a fair use policy. Specifically:

• API usage must remain within reasonable limits for your plan tier.
• AI receipt scanning (OCR) is subject to the monthly quota defined for your plan.
• Storage usage must remain within your plan's allocation.
• Automated or scripted bulk operations that place excessive load on our infrastructure may be throttled or restricted.

If your usage significantly exceeds normal patterns for your plan, we will contact you to discuss upgrading to an appropriate plan or adjusting your usage.

When using the Services, you must not:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload, transmit, or store content that infringes intellectual property rights of third parties.
• Upload malware, viruses, or any harmful code.
• Attempt to gain unauthorized access to other user accounts, tenant workspaces, or our infrastructure.
• Use the Services to send spam, unsolicited communications, or phishing attempts.
• Reverse-engineer, decompile, or disassemble any part of the Services.
• Scrape, crawl, or extract data from the Services using automated tools.
• Resell, redistribute, or sublicense access to the Services without our written consent.
• Use the Services in a manner that could damage, disable, or impair our servers or networks.
• Impersonate another person or entity, or misrepresent your affiliation with any person or entity.

Your data belongs to you. Specifically:

• Ownership: You retain all ownership rights to data you upload, create, or store on the platform.
• License to us: You grant Yonetior a limited, non-exclusive license to process your data solely for the purpose of providing, maintaining, and improving the Services.
• No sale of data: We will never sell, rent, or share your data with third parties for marketing or advertising purposes.
• Data portability: You can export your data in standard formats at any time from the platform.
• Data deletion: Upon account termination, your data will be permanently deleted within 30 days, except where retention is required by law.

All intellectual property rights in the Services, including but not limited to:

• Source code, software, algorithms, and technical architecture.
• User interface design, layout, graphics, icons, and visual elements.
• The Yonetior name, logo, and brand identity.
• Documentation, guides, and marketing materials.

are owned exclusively by Yonetior and are protected by applicable intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you except for the limited license to use the Services.

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the relationship:

• Yonetior will treat all data within your tenant workspace as confidential and will not access it except as necessary to provide the Services, respond to support requests, or comply with legal obligations.
• You agree not to disclose any non-public information about Yonetior's technology, pricing, or business practices obtained through use of the Services.
• These confidentiality obligations survive termination of the agreement.

Yonetior strives to provide reliable and continuous access to the Services. However:

• The Services are provided "AS IS" and "AS AVAILABLE".
• We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
• We target a service availability of 99.5% on a monthly basis, excluding scheduled maintenance.
• Scheduled maintenance will be communicated in advance whenever possible.
• Our total liability for any claims arising from these Terms shall not exceed the amount paid by you for the Services in the 12 months preceding the claim.

Either party may terminate the subscription as follows:

• Cancellation by you: You may cancel your subscription at any time from your account settings or by contacting us. Upon cancellation, you retain access to your plan features until the end of your current billing period. No further charges will be made.
• Termination by us: We may suspend or terminate your account immediately if you violate these Terms, engage in prohibited activities, or fail to make payment. We will provide notice and an opportunity to cure non-material breaches before termination.
• Effect of termination: Upon termination, your license to use the Services ceases. Your data will be retained for 30 days to allow for export, after which it will be permanently deleted.
• Survival: Provisions relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination.

This Acceptable Use Policy ("AUP") defines the boundaries of appropriate use of the Yonetior platform. By using the Services, you agree to comply with this AUP in addition to the other provisions of these Terms.

• Lawful use only: You must use the Services in compliance with all applicable laws, regulations, and professional standards in your jurisdiction.
• Professional conduct: You must interact with other users and our support team with respect and professionalism.
• Data responsibility: As a tenant administrator, you are responsible for the data your team enters into the platform and for ensuring compliance with applicable data protection laws.
• Resource responsibility: You must not consume platform resources (storage, API calls, OCR scans) in a manner that degrades service quality for other users.
• Reporting: If you discover a security vulnerability or a violation of this AUP by another user, please report it immediately to info@yonetior.com.

The following general provisions apply to these Terms:

• Entire agreement: These Terms, together with the Privacy Policy, Cookie Policy, and any applicable DPA, constitute the entire agreement between you and Yonetior regarding the Services.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: No failure or delay by either party in exercising any right or remedy shall constitute a waiver of that right or remedy.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
• Governing law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the Istanbul courts and enforcement offices.
• Force majeure: Neither party shall be liable for failure or delay in performance caused by circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, or internet outages.
